Q. What facilities will Awarii Dunes Golf Club offer?
The “Club Facilities”, subject to obtaining all required governmental approvals and permits, may include the following:
• An 18-hole golf course designed by Jim Engh Golf Design;
• Golf practice facilities including a practice range, putting green and chipping green;
• A golf academy including professional instruction, indoor and outdoor hitting bays, target greens, and an extensive practice area for short game, chipping and putting;
• A golf clubhouse offering a grille, golf shop, men’s and women’s locker room facilities, golf bag storage facilities, and an outdoor patio sitting area; and
• An event/activities lawn.
Q. What is Awarii Dunes Golf Club?
Awarii Dunes Golf Club is a membership–oriented club organized to provide the opportunity to enjoy the golf course, clubhouse, and golf academy facilities with other members and guests, and to participate in various social activities and events.
Q. What is the primary purpose of the Awarii Dunes Golf Club?
Awarii Dunes Golf Club is committed to provide its members and invited guests with an exceptional golf experience in the tradition of Irish Golf links style, providing attentive service in all aspects of the golf and club operation. Awarii Dunes is committed to being a strong partner in the community to enhance the institutions of the community and aid in their charitable pursuits.
The Club will be family friendly where recreation, cultural and social activities are created to celebrate friendship, sportsmanship and a deep sense of community.
Q. What is the timing for construction of the Club Facilities?
Construction of the Club Facilities will be phased. The 18-hole golf course and golf practice facilities are under construction and it is anticipated that construction of the golf course will be completed in Summer 2010, and that the 18-hole golf course will open for play in Summer 2011. A temporary golf building will also be available for use once the golf course is open for play. Construction of the golf clubhouse will commence once the Club determines there is a sufficient number of dues-paying members to support the operation of the golf clubhouse and all required governmental permits and approvals have been obtained.
Q. Is Awarii Dunes Golf Club a member-owned equity club and if not, who will operate the Club Facilities?
No. GLD of Nebraska, LLC, a Colorado limited liability company is constructing the Club Facilities and once completed, Awarii Dunes Golf Club, LLC, a Colorado limited liability company authorized to transact business in the state of Nebraska, doing business as Awarii Dunes Golf Club (the “Club”) will operate the Club Facilities. The Club will initially operate the Club Facilities as a right-to-use facility on a for-profit basis. The membership opportunity allows the member to use the Club Facilities and does not provide the member with any ownership interest in the Club or the Club Facilities provided at Awarii Dunes Golf Club.
Q. Is there a real estate opportunity at Awarii Dunes?
Yes. The surrounding Awarii Dunes residential community will offer homesites and townhomes. A member at Awarii Dunes Golf Club also has an opportunity to purchase real estate in the surrounding community. Homesites and townhomes will be released in the following order: first, to Founder Members and Charter Members; second, to other Golf Members at Awarii Dunes; and third, to the general public.
Membership at Awarii Dunes is separate from the purchase of property in the surrounding community. The purchase of property at Awarii Dunes does not guarantee membership availability, and all prospective members must comply with all application procedures and be approved for membership by the Club.
Q. Are members at Awarii Dunes Golf Club subject to any operating assessments?
No. Members are not subject to any assessments for operating deficits incurred in the operation of the Club Facilities.
The payment of dues, fees, golf academy fees, golf cart fees, caddie fees, usage fees, club minimums (if any), charges, state taxes, service charges and other personal charges that the Club may establish from time to time (collectively, the “Club Fees”) is required to obtain and maintain membership privileges at Awarii Dunes Golf Club.
Q. What types of membership are available at Awarii Dunes Golf Club?
The Club is offering four classifications of non-equity membership known as “Golf Memberships’, “Corporate Golf Memberships”, “National Memberships” and “Social Memberships” (collectively, the “Club Memberships’).
Q. What are the privileges of a Golf Membership?
A Golf Membership allows the use of all of the Club Facilities and to attend club-sponsored events held at the Club Facilities on a space available basis upon payment of either a membership deposit or a non-refundable membership fee, and all applicable dues and other Club Fees. Golf Members shall not be charged green fees for use of the golf facilities, but shall pay applicable golf cart fees, caddie fees, personal charges incurred at Awarii Dunes Golf Club and all other Club Fees established by the Club. Golf Members shall have the opportunity to participate in any club-sponsored golf tournaments on a space available basis upon payment of the applicable fees.
Q. What are the privileges of a Corporate Golf Membership?
A Corporate Golf Membership is available to on-going, active, operating businesses and shall be held in the name of a company, partnership, business, trust or other form of business ownership (collectively, the “company”). The company, as the actual member and owner of the membership, shall designate one primary designee and may designate up to an additional four associate designees of the membership use privileges. Immediate family members of the designees may also use the facilities upon payment of the family level of dues. The designees of the membership use privileges must be an officer, director, partner, owner or employee of the company (or in the case of a trust a trustee, donor or principal beneficiary), must submit an Application for Use Privileges and be approved by the Club. The Club shall charge a non-refundable membership fee for each designee. Each designee requires the payment of a non-refundable membership fee, dues and other Club Fees. The designees of a Corporate Golf Membership shall have the same privileges to use the Club Facilities and shall pay the same dues and other Club Fees as a Golf Member.
The company may change the designee(s) of the membership use privileges upon approval of the new designee by the Club and the payment of any applicable non-refundable change of designee fee to the Club.
Q. What are the privileges of a National Membership?
A National Membership is available to persons who do not have their principal residence and their principal place of business within 75 miles of the Club Facilities. A National Membership allows the use of all of the Club Facilities and to attend club-sponsored events held at the Club Facilities on a space available basis upon payment of the non-refundable membership fee and all applicable Club Fees. National Members shall pay to the Club an annual usage fee prior to the beginning of each membership year. National Members shall be charged green fees, golf cart fees, caddie fees, personal charges incurred at Awarii Dunes Golf Club and all other Club Fees established by the Club. All fees, charges and other Club Fees incurred by National Members and their immediate family members and guests shall be charged against the annual usage fee paid to the Club in advance by the member. Once the annual usage fee has been used in any given membership year, then the Club may allow such member to use the facilities on a space available basis upon payment of the same fees charged to accompanied guests of Golf Members. No portion of the annual usage fee may be carried forward to the following membership year, and therefore, any annual usage fee not used as of the last day of the membership year shall be forfeited by the member. National Members shall have the opportunity to participate in any club-sponsored golf tournaments on a space available basis upon payment of the applicable fees.
Q. What are the privileges of a Social Membership?
A Social Membership allows the use of the golf clubhouse and to attend designated club-sponsored non-golf events held at the Club Facilities on a space available basis upon payment of the non-refundable membership fee, and all applicable dues and other Club Fees. Social Members may play three rounds of golf each membership year during non-peak times established by the Club from time to time upon payment of applicable green fees, golf cart fees, and caddie fees, and all other personal charges incurred at Awarii Dunes Golf Club and other Club Fees established by the Club.
Q. Will my family be welcome at the Club?
Yes. The ability to spend quality time with family is of paramount importance at Awarii Dunes Golf Club. The Club is committed to providing a family friendly environment.
Each Golf Membership, National Membership and Social Membership shall be issued in the name of the individual submitting the Application for Membership Privileges who will be known as the “primary member” until changed in accordance with the rules established by the Club from time to time. A Corporate Golf Membership shall be issued in the name of the entity submitting the Application for Membership Privileges. A Golf Membership and designees of Corporate Golf Memberships may use the Club Facilities upon payment of the required membership deposit/fee and the individual level of dues and other applicable Club Fees. If such primary member or designee desires for his/her immediate family members (as described herein) to use the Club Facilities then the family level of dues must be paid. A National Membership and Social Membership permit the primary member and his/her immediate family members to use the facilities upon payment of the required membership fee and the family level of dues and other applicable Club Fees.
The term “immediate family member(s)” shall include the spouse of the primary member or designee (i.e., legally married as recognized by the state of Nebraska) who is living in the same household as the primary member or designee, and the unmarried children of each who are under the age of twenty-three and either living in the same household as the primary member or designee or attending school on a full-time basis.
Q. Will extended family members have any preferential fees to use the facilities?
The Club may allow other members of the primary member’s family, including but not limited to, children who do not fall within the definition of immediate family members and the parents and grandchildren of the primary member or designee and his/her spouse, to use certain facilities provided at Awarii Dunes Golf Club from time to time upon payment of reduced guest fees and compliance with the rules established by the Club.
Q. May I invite guests to use the Club Facilities?
Yes. It is the intention of Awarii Dunes Golf Club to accommodate guests without inconvenience to the members in accordance with the guest policy of the Club and the Rules and Regulations.
Q. Who is eligible to obtain membership privileges?
Membership at Awarii Dunes Golf Club is available by invitation only. Invitations may be extended only by the Club.
The Club is currently offering the opportunity to make application for an available membership to eligible persons who desire to use the Club Facilities and are approved for membership by the Club.
Q. What does a prospective member pay to obtain membership privileges at Awarii Dunes Golf Club?
To obtain a Golf Membership, the applicant shall either pay to the Club a refundable membership deposit or a non-refundable membership fee established by the Club from time to time.
To obtain a Corporate Golf Membership, National Membership or Social Membership, the applicant shall pay to the Club a non-refundable membership fee established by the Club from time to time.
Q. Will the membership deposits/fees paid for Club Memberships be held in an escrow account pending completion of certain facilities?
Yes. The Club shall deposit all membership deposits/fees received from the initial issuance of Golf Memberships, Corporate Golf Memberships and National Memberships in an escrow account at a financial institution until the 18-hole golf course is open for play. Once the 18-hole golf course is open for play, then all such amounts that are held in the escrow account shall be released to the Club and may be used for any purpose whatsoever deemed appropriate by the Club, in its sole discretion.
The Club shall deposit the final 25% payment of the membership deposit/fee received from the initial issuance of Golf Memberships, Corporate Golf Memberships and National Memberships and any membership fee received from the issuance of Social Memberships in an escrow account at a financial institution until the golf clubhouse is open for use. Once the golf clubhouse is open for use, then all membership deposits/fees remaining in the escrow account shall be released to the Club and may be used for any purpose whatsoever deemed appropriate by the Club, in its sole discretion.
Q. How do I become a member and how does the membership application process work?
A person or entity that desires to obtain a Club Membership must deliver to the Club a fully completed and signed Application for Membership Privileges and Membership Agreement, and pay to the Club the required membership deposit/fee and all applicable dues and other Club Fees. Each person submitting an Application for Membership Privileges and Membership Agreement must be sponsored by an existing member in good standing or a representative of the Club, and attend an interview if requested by the Club.
Once all required information has been submitted to the Membership Office, the Club shall evaluate each Application for Membership Privileges and conduct such investigation and consideration of the applicant, as it deems appropriate.
In the event the Application for Membership Privileges is acted upon favorably by the Club, the Club will so notify the applicant immediately of his/her acceptance to membership. If the Application for Membership Privileges is not acted upon favorably, the Club shall notify the applicant that he/she will not be invited to membership and the Club shall return to such applicant any membership deposit/fee, dues and other Club Fees previously paid to the Club within ten days.
Q. Can Club Memberships be transferred directly to any other person?
No. Memberships are not transferable. Members may not sell, transfer or otherwise assign their membership privileges except to the Club.
Club Members who desire to resign their membership privileges must give the Club ninety days prior written notice of their intention to resign membership privileges. Members who have submitted a written resignation of membership privileges to the Club shall not be permitted to revoke and rescind such resignation of membership privileges without the prior approval of the Club, in its sole discretion.
Q. Is any portion of the membership fee paid to the Club for a Club Membership refundable?
No. The membership of a Club Member who paid a non-refundable membership fee to the Club for his/her Club Membership shall terminate without refund of any membership fee, dues and other Club Fees previously paid to the Club on the last day of the quarter in which the resignation of membership is effective.
Q. What happens upon the resignation of a Golf Membership that has paid a refundable membership deposit?
Once the resignation of membership privileges is effective for Golf Memberships that have paid a refundable membership deposit, the resigned Golf Membership will be placed on the member refund list on a first-come, first-served basis. The order that resigned Golf Memberships are placed on the member refund list shall determine when such resigned memberships are reissued by the Club and the resigned members are paid the Refund Amount (as described below) by the Club.
Golf Members who have placed their resigned memberships on the member refund list must continue to pay the required dues and other Club Fees associated with such Golf Membership until the occurrence of the earlier of: (i) the reissuance of the resigned Golf Membership by the Club, or (ii) nine months after the effective date of membership resignation. The resigned Golf Member shall be permitted to use the Club Facilities during this period as long as such dues and other Club Fees continue to be paid in a timely manner and his/her club account remains in good standing.
Q. When will resigned Golf Memberships that have paid a refundable membership deposit be reissued by the Club?
From Member Refund List. A resigned Golf Membership that has been placed on the member refund list shall be reissued by the Club at the time such membership has rotated to the top of the member refund list. Every fourth Golf Membership issued by the Club that has paid a refundable membership deposit shall be the next resigned Golf Membership which has rotated to the top of the member refund list maintained by the Club, provided a resigned membership is on such member refund list at that time.
To Subsequent Purchaser Of Property In Awarii Dunes. Unless otherwise provided in the member’s membership agreement, a Golf Member who (i) has paid a refundable membership deposit in full to the Club for his/her Golf Membership, (ii) owns a residence or homesite in the Awarii Dunes residential community, and (iii) is in good standing and has not submitted a written resignation of membership to the Club, shall have the opportunity for a period of thirty days immediately following the closing of the sale of his/her residence or homesite in Awarii Dunes to request that the Club reissue such member’s Golf Membership to the subsequent purchaser of his/her residence or homesite in Awarii Dunes. In order to apply for the member’s Golf Membership, the subsequent purchaser of the residence or homesite in Awarii Dunes must be approved for membership and pay to the Club the required refundable membership deposit in full.
Q. Is any portion of the membership deposit paid to the Club for a Golf Membership refundable?
The Club shall repay to a Golf Member who has paid a refundable membership deposit to the Club for his/her Golf Membership 100% of the actual refundable membership deposit paid to the Club by such member for his/her Golf Membership as further set forth in the member’s Membership Agreement, without interest, thirty years from the date such member's Membership Agreement is executed by the Club, unless such member elects to be paid the Refund Amount as described below.
Upon the resignation of a Golf Membership that has paid a refundable membership deposit prior to the expiration of the thirty-year period or upon written notice to the Club that an eligible Golf Member desires to arrange for the Club to reissue his/her Golf Membership to the subsequent purchaser of his/her residence or homesite in Awarii Dunes prior to the expiration of the thirty-year period, then such Golf Member may elect to be paid a Refund Amount in lieu of receiving 100% of the actual refundable membership deposit previously paid upon expiration of the thirty-year period. If such Golf Member elects this option, the Club shall pay to the member the Refund Amount within sixty days after the member’s Golf Membership is reissued by the Club to a successor member either from the member refund list or to the subsequent purchaser of such member’s residence or homesite in Awarii Dunes, who has been approved for membership and paid the required refundable membership deposit in full to the Club.
The amount of the Refund Amount to be paid by the Club to a Golf Member shall be a percentage of the actual refundable membership deposit previously paid by the resigned member as further described in such member’s Membership Agreement.
Q. Who is responsible for the operation of the Club Facilities?
The Club currently intends to manage and operate the Club Facilities. The Club is responsible for the operation of the Club Facilities and has the exclusive authority to accept members, establish membership deposits/fees, dues and other Club Fees, establish rules and regulations, establish all policies relating to the Club Facilities and the use thereof, and control the management and affairs of the Club Facilities.
Q. How will the Club keep informed on the desires of the membership?
The Club will establish an Advisory Board whose purpose includes fostering good relations between the members of the Club and management of the Club Facilities and providing member input on programs and activities provided at Awarii Dunes Golf Club.
The Advisory Board will be composed of members appointed by the Club from time to time; and members of the Advisory Board shall serve staggered terms established by the Club.
Q. How are dues and other Club Fees established?
The Club shall establish the amount of dues and other Club Fees to be paid by each member at Awarii Dunes Golf Club from time to time.
Dues and usage fees shall be payable in advance in a manner established by the Club from time to time.
Q. Are members subject to any capital assessments?
Members are not subject to assessments for capital improvements to the Club Facilities unless such proposed assessment is approved by (i) the Club, (ii) a majority of all of the members of the Advisory Board, and (iii) a majority of all of the dues-paying members and designees that would be required to pay such capital assessment if it was approved.
All assessments for capital improvements to the Club Facilities shall be voted on by and shall be paid equally by all dues-paying members and designees (excluding Social Members).
Q. Will the Club Facilities be available for use by non-member users?
The Club has made arrangements with several local hotels to allow guests of such hotels the opportunity to use the Club Facilities upon payment of applicable fees and compliance with the rules established by the Club from time to time. The Club reserves the right to reserve or block certain golf starting times for use by these hotel guests.
The Club reserves the right to allow use of the Club Facilities (except any areas that may be designated as member-only by the Club from time to time) by non-member daily-fee users and other club sponsored non-member users from time to time upon payment of the required use fees and compliance with the rules established by the Club.
Q. Will the members have the opportunity to purchase the Club Facilities if they are ever sold?
